设备必须具有清晰、合法的产权,卖方必须是设备的合法所有者或经授权的代理人。需提供以下文件之一:购买发票、产权证明、转让协议、授权委托书等。设备不得存在产权纠纷、抵押、查封、扣押等法律限制。对于从第三方购买的设备,需提供完整的产权转移链条证明。 Equipment must have clear and legal ownership. Seller must be the legal owner or authorized agent. Must provide one of the following documents: purchase invoice, ownership certificate, transfer agreement, power of attorney, etc. Equipment must not have ownership disputes, mortgages, seizures, or other legal restrictions. For equipment purchased from third parties, complete ownership transfer chain proof is required.
设备主要结构完整,关键部件齐全,具有使用价值或维修价值。设备外观无严重损坏,主要功能部件能够正常工作或经维修后可恢复正常工作。对于二手设备,允许存在正常的使用磨损,但不得有影响安全使用的重大缺陷。设备必须符合相关的安全标准和技术规范。 Equipment main structure must be intact, key components complete, with use value or repair value. Equipment appearance without serious damage, main functional components can work normally or can be restored to normal operation after repair. For used equipment, normal wear and tear is acceptable, but must not have major defects affecting safe use. Equipment must meet relevant safety standards and technical specifications.
卖方需提供设备的基本技术资料,包括但不限于:设备型号、规格、技术参数、制造商信息、出厂日期等。对于二手设备,应尽可能提供使用历史记录、维护保养记录、大修记录、检测报告等。如有设备说明书、操作手册、维修手册等原始资料,应一并提供。技术资料的完整性将影响设备的评估价格。 Seller must provide basic technical information including but not limited to: equipment model, specifications, technical parameters, manufacturer information, manufacturing date, etc. For used equipment, should provide usage history records, maintenance records, overhaul records, inspection reports, etc. if available. If there are original materials such as equipment manuals, operation manuals, repair manuals, they should be provided together. Completeness of technical documentation will affect equipment valuation.
卖方需提供设备的清晰照片,包括设备整体外观、关键部件特写、铭牌信息、存在的缺陷或损坏部位等。照片应从多个角度拍摄,能够全面反映设备的实际状况。照片应为近期拍摄,真实反映设备当前状态。对于大型设备,应提供设备所在位置的环境照片,便于评估运输条件。 Seller must provide clear photos of equipment including overall appearance, close-ups of key components, nameplate information, existing defects or damaged parts, etc. Photos should be taken from multiple angles to comprehensively reflect actual equipment condition. Photos should be recent and truly reflect current equipment status. For large equipment, should provide environmental photos of equipment location to facilitate assessment of transportation conditions.
卖方需明确告知设备的具体位置,包括省份、城市、详细地址等。设备应处于可接近、可检查的状态,便于我方技术人员进行现场检测。如设备位于偏远地区或特殊场所,应提前说明,以便安排检测和运输事宜。设备的位置和运输条件将影响最终的收购价格。 Seller must clearly inform specific equipment location including province, city, detailed address, etc. Equipment should be in an accessible and inspectable state for our technicians to conduct on-site inspection. If equipment is located in remote areas or special locations, should inform in advance to arrange inspection and transportation. Equipment location and transportation conditions will affect final purchase price.
需提供有效的营业执照副本(加盖公章)、税务登记证、组织机构代码证(或统一社会信用代码证书)等企业资质文件。企业法定代表人身份证明或授权代理人的身份证明及授权委托书。企业银行账户信息,用于款项支付。如设备属于企业固定资产,需提供资产处置的内部审批文件或股东会决议。 Must provide valid business license copy (with official seal), tax registration certificate, organization code certificate (or unified social credit code certificate) and other corporate qualification documents. Legal representative ID or authorized agent ID and power of attorney. Corporate bank account information for payment. 需提供有效的身份证件(身份证、护照等),证明其具有完全民事行为能力。如设备价值较大,可能需要提供户口本、婚姻状况证明等补充材料。个人银行账户信息,用于款项支付。如设备是通过继承、赠与等方式获得,需提供相应的法律文件。如代理他人出售设备,需提供所有者的授权委托书和身份证明。 Must provide valid ID documents (ID card, passport, etc.) proving full civil capacity. 卖方通过电话、邮件或在线方式联系我们,提供设备的基本信息。我们的业务人员将进行初步评估,判断设备是否符合我们的采购范围。如符合要求,我们将要求卖方提供更详细的资料和照片。初步咨询阶段不收取任何费用,卖方可自由选择是否继续交易。 Seller contacts us by phone, email or online, providing basic equipment information. Our business personnel will conduct preliminary assessment to determine if equipment meets our purchasing scope. If requirements are met, we will request seller to provide more detailed information and photos. No fees charged during initial consultation stage, seller can freely choose whether to continue transaction.
卖方提交完整的设备资料和相关证明文件。我们的专业团队将对资料进行审核,包括产权合法性审查、技术资料完整性检查等。审核过程通常需要1-3个工作日。如发现资料不完整或存在问题,我们会及时通知卖方补充或说明。只有通过资料审核的设备才能进入下一步评估阶段。 Seller submits complete equipment information and relevant supporting documents. Our professional team will review documents including ownership legality review, technical documentation completeness check, etc. Review process usually takes 1-3 business days. If documents are incomplete or have issues, we will promptly notify seller to supplement or clarify. Only equipment passing document review can proceed to next assessment stage.
基于设备资料和照片,我们的评估团队将给出初步的收购价格。评估考虑的因素包括:设备型号和规格、制造年份、使用状况、市场行情、供需关系、设备位置和运输成本等。初步报价通常在资料审核通过后1-2个工作日内给出。报价有效期一般为7-15天,具体视市场情况而定。 Based on equipment information and photos, our assessment team will provide preliminary purchase price. Quotation validity period generally 7-15 days, depending on market conditions.
如双方对初步报价达成意向,我们将安排专业技术人员进行现场检测。检测内容包括:设备外观检查、主要部件功能测试、安全性能检测、实际运行测试等。检测时间根据设备复杂程度而定,一般需要半天到一天。检测过程中,卖方应提供必要的协助和配合。检测结果将作为最终定价的重要依据。 If both parties reach agreement on preliminary quotation, we will arrange professional technicians for on-site inspection. Inspection includes: equipment appearance check, main component function test, safety performance inspection, actual operation test, etc. Inspection time depends on equipment complexity, generally half day to one day. During inspection, seller should provide necessary assistance and cooperation. Inspection results will be important basis for final pricing.
现场检测合格后,双方协商确定最终交易价格和其他条款。我们将准备正式的设备买卖合同,明确双方的权利和义务。合同主要内容包括:设备信息、交易价格、付款方式、交付时间、产权转移、违约责任等。双方应仔细阅读合同条款,确认无误后签字盖章。合同一式两份,双方各执一份。 After on-site inspection approval, both parties negotiate final transaction price and other terms. We will prepare formal equipment purchase contract, clarifying rights and obligations of both parties. Main contract contents include: equipment information, transaction price, payment method, delivery time, ownership transfer, breach liability, etc. Both parties should carefully read contract terms, sign and seal after confirmation. Contract in duplicate, each party keeps one copy.

款项支付后,双方办理设备交接手续。交接内容包括:设备实物交接、技术资料交接、产权证明文件交接等。我们将安排专业人员进行设备拆卸、包装和运输。卖方应配合办理设备的产权转移手续。交接完成后,双方签署设备交接确认书。至此,整个交易流程完成。 After payment, both parties handle equipment handover procedures. Handover includes: physical equipment handover, technical documentation handover, ownership certificate handover, etc. We will arrange professionals for equipment dismantling, packaging and transportation. Seller should cooperate in handling equipment ownership transfer procedures. After handover completion, both parties sign equipment handover confirmation. Transaction process completed.

对于重要设备,我们提供第三方检测机构出具的检测报告,包括外观检测、性能测试、安全检测等内容。检测报告真实有效,可供买方参考和存档。如买方对设备质量有疑问,可要求进行额外的检测,检测费用由双方协商确定。我们欢迎买方在购买前对设备进行全面检查。 For important equipment, we provide inspection reports issued by third-party inspection agencies, including appearance inspection, performance testing, safety inspection, etc. Inspection reports are authentic and valid, available for buyer reference and filing. If buyer has doubts about equipment quality, can request additional inspection, inspection costs negotiated by both parties. We welcome buyers to conduct comprehensive inspection before purchase.
新设备提供制造商标准质保期,一般为6-12个月,具体以设备类型和制造商规定为准。二手设备提供合理的质保期,一般为1-3个月,具体视设备状况而定。质保期内,如因设备质量问题导致故障,我们负责免费维修或更换配件。质保期内的正常维护保养由买方负责。人为损坏、不当使用、自然灾害等原因造成的故障不在质保范围内。 New equipment provides manufacturer standard warranty period, generally 6-12 months, specific to equipment type and manufacturer regulations. Used equipment provides reasonable warranty period, generally 1-3 months, depending on equipment condition. During warranty period, if failure due to equipment quality issues, we are responsible for free repair or parts replacement. Normal maintenance during warranty period is buyer's responsibility. Failures caused by human damage, improper use, natural disasters, etc. are not covered by warranty.
设备价格包括设备本体价格、必要的配件和附件价格。价格不包括运输费用、安装费用、调试费用、培训费用等,这些费用需另行协商。对于批量采购,我们提供优惠价格,具体折扣根据采购数量和金额确定。价格以合同签订时的报价为准,报价有效期内价格不变。 Equipment price includes equipment body price, necessary accessories and attachments price. Price does not include transportation costs, installation costs, commissioning costs, training costs, etc., these costs need separate negotiation. For bulk purchases, we offer preferential prices, specific discounts determined by purchase quantity and amount. Price based on quotation at contract signing, price unchanged during quotation validity period.
我们接受多种付款方式,包括银行转账、电汇、信用证、支票等。对于小额交易,可以一次性付款。对于大额交易,可以采用分期付款方式,一般为:合同签订时支付30%定金,设备发货前支付60%,设备验收合格后支付剩余10%。具体付款比例和时间节点可根据实际情况协商调整。 We accept multiple payment methods including bank transfer, wire transfer, letter of credit, check, etc. For small transactions, one-time payment possible. For large transactions, installment payment can be used, generally: 30% deposit upon contract signing, 60% before equipment shipment, remaining 10% after equipment acceptance. 我们为所有交易开具正规发票,包括增值税专用发票或普通发票。发票内容包括设备名称、型号、数量、单价、总价等信息。发票在收到全部款项后开具,一般在5个工作日内寄出。如需特殊发票内容或格式,请在合同中注明。我们保证发票的真实性和合法性。 We issue formal invoices for all transactions, including VAT special invoices or ordinary invoices. Invoice content includes equipment name, model, quantity, unit price, total price, etc. Invoice issued after receiving full payment, generally mailed within 5 business days. If special invoice content or format needed, please specify in contract. We guarantee invoice authenticity and legality.
现货设备在收到全款后3-7个工作日内发货。定制设备或需要特殊准备的设备,交付时间根据实际情况确定,一般为15-30天。如遇不可抗力因素导致延迟交付,我们将及时通知买方并协商解决方案。我们承诺按时交付,如因我方原因延迟交付,将承担相应的违约责任。 Stock equipment shipped within 3-7 business days after receiving full payment. Customized equipment or equipment requiring special preparation, delivery time determined by actual situation, generally 15-30 days. If delayed delivery due to force majeure, we will promptly notify buyer and negotiate solution. We promise timely delivery, if delayed due to our reasons, will bear corresponding breach liability.
我们提供多种运输方式选择,包括陆运、海运、空运等。运输方式根据设备特点、目的地距离、时间要求等因素确定。对于大型重型设备,我们有丰富的运输经验,能够提供专业的运输方案。运输过程中,设备将进行适当的包装和固定,确保运输安全。我们与多家专业物流公司合作,能够提供可靠的运输服务。 We provide multiple transportation method options including land, sea, air transport, etc. Transportation method determined by equipment characteristics, destination distance, time requirements, etc. For large and heavy equipment, we have rich transportation experience and can provide professional transportation solutions. During transportation, equipment will be properly packaged and secured to ensure transportation safety. We cooperate with multiple professional logistics companies and can provide reliable transportation services.
运输费用根据设备重量、体积、运输距离、运输方式等因素计算。运输费用可由买方承担,也可由我方承担并计入设备总价,具体在合同中约定。我们提供运输费用的详细清单,确保费用透明合理。对于批量采购或大额交易,我们可能提供运输费用优惠或免费运输服务。 Transportation costs calculated based on equipment weight, volume, transportation distance, transportation method, etc. Transportation costs can be borne by buyer or by us and included in total equipment price, specifically agreed in contract. We provide detailed list of transportation costs, ensuring cost transparency and reasonableness. For bulk purchases or large transactions, we may offer transportation cost discounts or free transportation services.
我们建议为设备购买运输保险,以防范运输过程中的意外风险。保险费用一般由买方承担,也可协商由我方代为购买。保险金额应覆盖设备价值和运输费用。如发生运输事故导致设备损坏或丢失,将按照保险条款进行理赔。我们将协助买方办理保险理赔手续。 We recommend purchasing transportation insurance for equipment to guard against unexpected risks during transportation. Insurance costs generally borne by buyer, can also be negotiated for us to purchase on behalf. Insurance amount should cover equipment value and transportation costs. If transportation accident causes equipment damage or loss, claims will be processed according to insurance terms. We will assist buyer in handling insurance claim procedures.

正式签订的书面合同对双方具有法律约束力。合同内容应明确、完整,不得存在歧义。合同一经签订,双方应严格履行合同义务。如需变更合同内容,应经双方协商一致并签订书面补充协议。口头承诺或非正式文件不具有法律效力。 Formally signed written contract is legally binding on both parties. 如双方在合同履行过程中发生争议,应首先通过友好协商解决。协商不成的,可申请第三方调解。调解不成的,任何一方可向合同签订地或被告所在地人民法院提起诉讼。诉讼期间,除争议部分外,双方应继续履行合同其他部分。 If disputes arise during contract performance, should first be resolved through friendly negotiation. If negotiation fails, can apply for third-party mediation. If mediation fails, either party can file lawsuit with people's court at contract signing location or defendant's location. During litigation, except disputed parts, both parties should continue to perform other parts of contract.
本合同的签订、履行、解释及争议解决均适用中华人民共和国法律。对于涉外交易,还应遵守相关国际贸易惯例和公约。双方应遵守所有适用的法律法规,包括但不限于合同法、产品质量法、安全生产法等。 Contract signing, performance, interpretation and dispute resolution are all governed by laws of People's Republic of China. For foreign-related transactions, should also comply with relevant international trade practices and conventions. Both parties should comply with all applicable laws and regulations, including but not limited to contract law, product quality law, work safety law, etc.
双方应对在交易过程中获知的对方商业秘密和敏感信息承担保密义务。未经对方书面同意,不得向第三方披露或用于其他目的。保密义务在合同终止后继续有效,期限为三年。违反保密义务的一方应承担相应的法律责任和赔偿责任。 Both parties should bear confidentiality obligations for other party's trade secrets and sensitive information learned during transaction. Without other party's written consent, shall not disclose to third parties or use for other purposes. Confidentiality obligations remain valid after contract termination, period of three years. Party violating confidentiality obligations should bear corresponding legal liability and compensation liability.
设备及相关技术资料的知识产权归原权利人所有。买方购买设备仅获得设备的使用权,不获得相关知识产权。买方不得擅自复制、仿制设备或技术资料。如设备涉及专利、商标等知识产权,我们保证不侵犯第三方权利。如因知识产权问题产生纠纷,我们承担相应责任。 Intellectual property rights of equipment and related technical information belong to original rights holder. Buyer purchasing equipment only obtains equipment usage rights, not related intellectual property rights. Buyer shall not copy or imitate equipment or technical information without authorization. If equipment involves patents, trademarks and other intellectual property rights, we guarantee not to infringe third-party rights. If disputes arise due to intellectual property issues, we bear corresponding responsibility.
因不可抗力因素(如自然灾害、战争、政府行为、疫情等)导致合同无法履行或延迟履行的,受影响方不承担违约责任。受影响方应及时通知对方,并提供相关证明文件。双方应协商采取补救措施,尽量减少损失。如不可抗力持续时间过长,任何一方可提出解除合同。 If contract cannot be performed or is delayed due to force majeure factors (such as natural disasters, war, government actions, epidemics, etc.), affected party does not bear breach liability. Affected party should promptly notify other party and provide relevant supporting documents. Both parties should negotiate remedial measures to minimize losses. If force majeure lasts too long, either party can propose contract termination.
合同变更或解除应经双方协商一致,并签订书面协议。单方面变更或解除合同的,应承担违约责任。合同解除后,双方应办理相关的清算手续,包括款项结算、设备返还等。已履行部分不受影响,未履行部分终止履行。 Contract amendment or termination should be negotiated by both parties and sign written agreement. Unilateral amendment or termination of contract should bear breach liability. After contract termination, both parties should handle relevant liquidation procedures including payment settlement, equipment return, etc. Performed parts not affected, unperformed parts terminate performance.
双方之间的通知应采用书面形式,通过邮寄、快递、传真、电子邮件等方式送达。通知送达至合同约定的地址或联系方式。地址或联系方式变更的,应及时书面通知对方。未及时通知导致通知无法送达的,由变更方承担责任。 Notices between parties should be in written form, delivered by mail, courier, fax, email, etc. Notice delivered to address or contact information agreed in contract. If address or contact information changes, should promptly notify other party in writing. If failure to notify timely results in notice not being delivered, changing party bears responsibility.
本条款的最终解释权归高地石油设备有限公司所有。如本条款与具体合同条款存在冲突,以具体合同条款为准。本条款未尽事宜,双方可另行协商补充。本条款自发布之日起生效,我们保留随时修改本条款的权利,修改后的条款将在网站上公布。 Final interpretation right of these terms belongs to Gaodi Petroleum Equipment Co., Ltd. If these terms conflict with specific contract terms, specific contract terms shall prevail. Matters not covered in these terms can be supplemented by separate negotiation between parties.
